Copyright Infringement

If you believe your copyright has been infringed, you may provide us with notice. To be effective, the notification must be a written communication. Greenwood may give notice to our visitors and users that we have received a notice of infringement by means of a general notice on this Site, electronic mail to a user's e-mail address in our records, or by written communication sent by first-class mail to a user's physical address in our records.

We reserve the right to terminate access to this Site to anyone who infringes the proprietary rights of any third party.
Forums and Communications; License.    

Greenwood may make available to users of the Site e-mail notices, newsletters, chat rooms, message boards, bulletin board services, user reviews and ratings tools, or other interactive communication facilities by means of the Site (such facilities collectively referred to herein as the "Forums"). Public Communications.

Communicating on or to the Site.    

Greenwood cannot review all Communications made on or through the Site. (vii) violates any applicable laws, rules, or regulations;

Disputes


If there is any dispute about or involving this Site, you agree that the dispute shall be governed by the laws of the State of California, USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of California, City of San Francisco.

Age Restrictions.    

You represent and warrant to Greenwood that you are at least eighteen (18) years old and that you possess the legal right and ability to enter into this Agreement and to use the Site in accordance with this Agreement.

Indemnity


You agree to indemnify and hold Greenwood, its subsidiaries and affiliates, and their respective directors, officers, shareholders, members, managers, agents, partners and employees, harmless from any loss or liability arising out of your use of this Site or from any claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of this Site in violation of this Agreement and/or the Privacy Policy and/or if any content that you post to this Site causes Greenwood to be liable to another.

Modifications

(a) To the Agreement.    

Greenwood has the right to modify this Agreement and any policies affecting the Site. Any modification is effective immediately upon posting to the Site or distribution to you via electronic mail, conventional mail or text messaging. Your continued use of the Site following notice of any modification to this Agreement shall conclusively be deemed an acceptance of all such modification(s).
(b) To the Site.    

Greenwood has the right to modify, suspend or discontinue the Site or any portion thereof at any time, including the availability of any area of the Site. Greenwood may also impose limits on certain features and services or restrict your access to parts or the entire Site without notice or liability.

General.

Failure by Greenwood to enforce any provision of this Agreement shall not be construed as a waiver of any provision or right. In the event that any portion of this Agreement is held unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions shall remain in full force and effect.
